1. Agreement to Terms

Welcome to SEO Dashboard. By accessing or using our website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and SEO Dashboard ("Company," "we," "us," or "our") regarding your access to and use of our SEO platform, including any content, functionality, and services offered on or through seodashboard.net.

2. Eligibility

By using our services, you represent and warrant that:

  • You are at least 18 years of age or have reached the age of majority in your jurisdiction
  • You have the legal capacity to enter into a binding contract
  • You are not barred from receiving services under applicable laws
  • You will use our services only for lawful purposes and in accordance with these Terms

3. Account Registration

3.1 Account Creation

To access certain features of our platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to:

  • Ensure that you exit from your account at the end of each session
  • Accept responsibility for all activities that occur under your account

We reserve the right to disable any user account at any time if we believe you have violated these Terms.

4. Subscription and Payments

4.1 Subscription Plans

We offer various subscription plans with different features and limitations. The specific features available to you depend on your selected plan. We reserve the right to modify, terminate, or otherwise amend our offered subscription plans at any time.

4.2 Billing and Payment

By subscribing to a paid plan, you agree to pay all fees associated with your subscription. You authorize us to charge your designated payment method for all applicable fees. All payments are non-refundable except as expressly provided in these Terms or as required by applicable law.

4.3 Automatic Renewal

Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for an additional period of the same duration. You can cancel your subscription at any time through your account settings.

4.4 Free Trial

We may offer a free trial period for new users. At the end of the trial period, you will be automatically upgraded to a paid subscription unless you cancel before the trial ends. We reserve the right to modify or terminate free trial offers at any time.

5. Acceptable Use

You agree not to use our services for any purpose that is:

  • Illegal, fraudulent, or unauthorized under any applicable law
  • Harmful, threatening, abusive, harassing, defamatory, or obscene
  • Infringing upon intellectual property rights of others
  • Interfering with or disrupting our services or servers
  • Attempting to gain unauthorized access to any part of our platform
  • Engaging in any activity that could damage, disable, or impair our services
  • Using our services to send spam or unsolicited communications
  • Violating the privacy or rights of third parties

6. Intellectual Property

6.1 Our Intellectual Property

The SEO Dashboard platform and its original content, features, and functionality are and will remain the exclusive property of SEO Dashboard and its licensors. Our services are protected by copyright, trademark, and other laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our platform without our prior written consent.

6.2 Your Content

You retain ownership of any content you submit, post, or display on or through our services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your content in connection with providing our services.

6.3 White Label Rights

If you purchase our White Label add-on, you are granted a limited, non-exclusive, non-transferable license to rebrand our platform for use with your clients. This license does not grant you ownership of our software or intellectual property rights.

7. Data and Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

8. Third-Party Services

Our platform may integrate with or contain links to third-party websites or services. We do not control and are not responsible for the content, privacy policies, or practices of any third-party websites or services. Your use of third-party services is at your own risk and subject to their respective terms.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEO DASHBOARD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Any damages resulting from your access to or use of or inability to access or use our services
  • Any conduct or content of any third party on our services
  • Any content obtained from our services
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY INFORMATION OBTAINED THROUGH OUR SERVICES.

11. Indemnification

You agree to defend, indemnify, and hold harmless SEO Dashboard and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of another.

12. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of our services following the posting of revised Terms means that you accept and agree to the changes.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16. Waiver

No waiver of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on our services, shall constitute the entire agreement between you and SEO Dashboard concerning our services.
